652a Application for striking off
Striking off is either instigated by the Registrar at Companies House or following an application by the company. Striking off following the request of the company must be done using Form 652 a.
Application for striking off is only available to private companies and is only suitable for small or dormant companies. The requirements as stated on the form are:
In the past three months the company has not:
• traded or otherwise carried on business, or changed its name;
• disposed of for value any property or rights which it would have disposed of for value in the normal course of trading or carrying on business; or
• engaged in any other activity except for the purpose of making this application, settling its affairs or meeting a statutory requirement
An application for striking off can not begin either if the company is the subject or the proposed subject of insolvency proceedings.
If none of these restrictions apply, then the striking off can be completed by filling in the Form 652a and sending it along with a fee of £10 to Companies House.
Application must be made by the directors. The names of all the current directors must be listed on the form along with a signature and date consenting to the striking off.
Copies of form 652a must be sent out to various parties within 7 days after sending the 652a to the Registrar. These include any members or shareholders, creditors such as banks and landlords etc, employees and any directors who did not sign the form.
When an application for striking off is received by the Registrar, they will then advertise and invite objections to the proposed striking off in the London Gazette. The company will be struck off the register not less than three months after the date of this notice. The company is actually dissolved when the Registrar publishes a notice stating so in the London Gazette.
