All companies must keep a register of members. These members have all agreed to be a member of the company and they have their names entered on a formal register of members.
Companies House must know where this register of members is located. It may be located at the registered office of the company, but this is not a legal requirement. It can be held at any location.
The register of members is public information. Any member of the company does have the right to inspect the register at any time, as do any other member of the public wishing to see it. As this is the case, Companies House dictate that they must be notified when there is a change of location of the register of members.
This change of location is completed using form 353. The register of members must be kept at an address in the country of incorporation. So if the company was incorporated in the UK, the register cannot be held abroad.
The form 353 must include the name and registration of the company. It must state the new location of the register of members. The form is filed to the Registrar of Companies at Companies House and must be done as soon as the new location is decided.
The responsibility falls to the director or secretary to ensure that the form is filed correctly and on time.
The 353 is one of the forms that can be filed electronically using either WebFiling or electronic filing or it can be sent to Companies House directly.
