190 Location of register of debenture holders
A register of debenture holders is the legal record of all the debenture holders in the company. The Companies House form 190 has to be submitted to the Registrar to inform Companies House of the location of the register or if the location of the register changes.
The register of debenture holders is normally kept at the registered office of the company. It can be kept at an alternative address as long as Companies House is informed. If the register has always been kept at the Registered Office, then the form is not necessary.
A debenture is a debt obligation backed by the borrower’s integrity. Companies use debentures to obtain funds for the company. It is unsecured in that there are no pledges on specific assets of the company. A register is kept of all those that hold debentures.
Form 190 requires the company name and number, the address of the location of register of debenture holders and a brief description of the debenture. It must be signed by the director or secretary of the company and then sent to the Registrar of Companies.
