An increase in share capital is another form that must be submitted to Companies House. A company can increase its authorised share capital and a copy of the resolution and notice of the increase is completed using a 123 Companies House form.
Share Capital is created when a company is formed. The people forming the company decide whether its member’s liability will be limited by shares. Decided then is the amount of share capital the company will have and the division of it into shares of a fixed amount. This is stated in the memorandum of association and becomes known as authorised capital.
When the company is registered the members must agree to take some or all of the shares. The memorandum of association shows the names of the people who have agreed to take shares and the number of shares they have.
There is no maximum or minimum amount of authorised share capital for private limited companies, although different rules do apply for public limited companies.
Share capital can be increased or decreased. This can be done by passing an ordinary resolution where members vote. The resolution to authorise an increase of share capital is sent to Companies House along with form 123 stating the change in nominal capital. These both have to reach Companies House 15 days after the resolution is passed.
Companies House do not charge when a notice of increase in share capital is submitted to them. The document and form is scanned to produce an electronic image. The original is then stored and the electronic image is used the working document.
