12 Declaration on application for registration
Form 12 is another statutory form from Companies House associated with the incorporation of a new company. Form 12 confirms that all other registration requirements have been completed. It is a declaration of compliance with all the legal requirements involved in the forming of a new company.
The newly appointed company secretary and director are responsible for signing the form and ensuring that it is completed in its entirety. It does have to be signed in the presence of a commissioner for oaths, a justice of the peace or a solicitor. Delays can be caused if it appears that the person who signed the form is not a director, so it should clearly show if a person has signed on the behalf of a corporate director.
The other documents required for forming the new company include:
• memorandum of association
• articles of association
• form 10
These legal documents must all be dated and signed before Form 12 is signed and dated. Form 12 provides the confirmation that the other required documentation has been completed so has to be signed afterwards.
Forms 12 is then sent to Companies House along with all other company formation documents and are subject to various checks of the prospective directors or secretaries against the Disqualified Directors Register.
After all checks have been made the Companies House Registrar will keep the documents and afterwards make them available for public inspection.
